I had the same problems when switching from XP Home to Vista Premium with a Gigabyte board, and went to the Gigabyte site where i found the solution, which was something to do with the Lan on my motherboard which slowed down the installation process and then cause it to crash. They had a remedy which solved the problem and Vista installed perfect. Take a look at the Gigabyte site in the FAQ section of your Motherboard.
Good Luck!

IRQL_NOT_LESS_OR_EQUAL
This goes back before Win XP.. and while Beta testing. over 95% of all errors were RELATED to DRIVERS..

Quote:
DISABLE BIOS MEMORY OPTIONS SUCH AS CACHING OR SHADOWING .
This is reference that once booted it retails info that SAYS your booting into XP or so lower version of OS. and it retains this info when Vista is trying to revamp...IT IS A BIOS SETTING..
contact your Mobo maker and ask how to SHUT IT OFF...
and many times simply telling some (not compatible program) simply not to start... does not work... UNINSTALL and shut down (approx 3 min) then restart.

Uninstalling and rebooting does not always CLEAR the CRAP from MEMORY.
Uninstall then shutdown (3 min recommended) clears the memory...

PS: Many mobos are not rated as VISTA ready...you might check with your mobo manufacture and see if they are Vista ready/compatible..if NO then what dcan you do to make READY... many times it is a simple BIOS upgrade, or MOBO Driver which your manufacture will furnish.

If you have an upgrade copy of a 32-bit version of Windows Vista, you must start the upgrade while running your existing version of Windows.
If you are using an upgrade copy of a 64-bit version of Windows Vista to upgrade a 64-bit version of Windows XP Professional, you must perform a clean installation of Windows Vista.
Quote:
Before upgrading, check your hardware compatibility
Before installing Windows, be sure to disable all antivirus software and back up your files to an external hard disk, a DVD or CD, a USB flash drive, or a network folder.
Quote:
1. Insert the Windows installation disc into your computer's DVD or CD drive. You must start Windows installation while running your existing version of Windows.

2. On the Install Windows page, click Install now.

3. On the Get important updates for installation page, we recommend getting the latest updates to help ensure a successful installation and to help protect your computer against security threats. You will need an Internet connection to get installation updates.

4. On the Type your product key for activation page, we strongly recommend that you type your 25-character product key to help avoid problems during activation.

5. On the Please read the license terms page, if you accept the license terms, click I accept the license terms.

6. On the Which type of installation do you want? page, click Upgrade to begin the upgrade. You might see a compatibility report.

7. Follow the instructions.
This is in accordance with MS policy and that your upgrading from a Legit Version of XP as verified by WPA.
Quote:
Note:You cannot install an upgrade copy of Windows Vista on a partition unless a copy of Windows 2000 or Windows XP is already installed on that partition. Depending on which version if Windows you are upgrading to and from, you might have to perform a clean installation.
One last possibility is the "NEW KEY" is not for the Version your are trying to upgrade to.. (several ppl have been given the wrong "KEY" ).

Also checking you MOBO you have NForce Video..
IRQL_NOT_LESS_OR_EQUAL = Driver Errors...
If you have upgraded the Video Drivers this can cause the IRQL_NOT_LESS_OR_EQUAL and many ppl are having major problems with Vista and NForce Drivers... recommend you uninstall the drivers in XP.. then reboot and let XP install the latest official Windows approved NForce drivers and then see if you can upgrade... Vista "PREFERS ONLY SIGNED DRIVERS" .
also:
Quote:
Gigabyte DualBIOS (the board has a backup Flash EEPROM chip with a copy of BIOS)
Q-Flash and @BIOS (these utilities are used to flash new BIOS versions without booting into DOS)
EasyTune 4 (a proprietary Windows utility to overclock and control parameters in real time)
Xpress Recovery (this utility backs up the data in the hidden area of a hard drive and then allows to restore this data)
Xpress Install (automatic installation of necessary drivers and applications from the bundled CD).
If you used Easytune4 REMOVE IT.. and set back to DEFAULT...not Over Clocked...(Vista hates to install on OC'd units)
